Constitution

ARTICLE I: ORGANIZATION

The name of this organization is "The Ye Olde Car Club of the Tri-Cities". Our fiscal year is the calendar year.

ARTICLE II:  PURPOSE AND CLASSIFICATION

Section 1.  The general purpose of this club, organized as a nonprofit organization, shall be to preserve and maintain motor vehicles of historical value and to serve as an accurate and technical source of information concerning historical automobiles for the benefit of its members as well as the general public.

Section 2. In order to facilitate the general purposes, automobiles shall be classified in the following categories:

(a) HORSELESS CARRIAGE. This classification shall include early pioneer gas, steam, and electric cars up to and including 1915 model automobiles accepted by HCCA.

(b) ANTIQUE CAR. This classification shall include standard factory-produced automobiles, 1916 to older than 25 years.

(c) SPECIAL INTEREST CAR. This classification shall include any production automobile, which is of unique design, outstanding features, or unusual styling. Two-thirds (2/3) of the members must vote acceptance.

(d) CLASSIC CAR. This classification shall include expensive high-quality custom-built or limited production automobiles of any year model accepted by CCCA.

ARTICLE III: MEMBERSHIP

Section 1. as follows:

There shall be two (2) classes of members of this club

(a) ACTIVE MEMBER: Any person interested in promoting the purpose of this club. An active member is entitled to all club privileges, including the right to vote and hold office.

(b) HONORARY MEMBER: Any person having gained eminence in the automobile industry, or any person who has commended himself to club esteem may be elected an honorary member by majority vote of the attending membership. Proposals for election as honorary members shall be made at a regular business meeting giving the name and address of the person proposed, together with a statement of his or her activities which justify his or her election as an honorary member. An action on said proposal shall then be deferred until the next business meeting, at which time honorary membership may be extended upon the unanimous vote of the attending membership. Honorary members shall not have the right to vote or to hold office in this club.

Section 2. Application: Application for membership in this club must be in writing, filed with the secretary and accompanied by dues for the current year, and shall become effective upon being introduced to the general membership.

Section 3. Suspension, Expulsion, Reinstatement: Any member may be suspended by the treasurer for non-payment of dues after March 1. Suspension by the treasurer shall be at the discretion of the Treasurer. Upon payment of current dues a member suspended for non-payment shall be automatically reinstated.

Section 4. Suspension, Expulsion, Reinstatement by the Board of Directors: The Board of Directors shall have summary power by vote of a majority of its members, to suspend or to expel and terminate the membership of any member for conduct which in its opinion disturbs the order, dignity, business or harmony or impairs the good name, popularity, good will or prosperity of the organization, or which is likely to endanger the welfare, interest or character of the organization, or for non-payment of dues or for any conduct in violation of these By-laws or of the rules and regulations of the club which may be made from time to time. Such action by the Board of Directors may be taken at any meeting of said Board. The proceedings of the Board of Directors in such matter shall be final and conclusive. After the expiration of the time set forth in any suspension by the Board of Directors the suspended member may petition the Board of Directors for reinstatement. A three-fourths (3/4) affirmative vote of the general membership present at any regularly called meeting shall be required to pass upon such reinstatement.

Section 5. General: Upon the resignation, suspension, expulsion, or death of a member, his rights and privileges as a member of this organization shall cease.

ARTICLE IV: OFFICERS

Section 1. Officers: The officers of this organization shall be President, Vice President, Secretary, and Treasurer and other officers as the Board of Directors may appoint. Officers shall serve for one year. The officers may be members of the Board of Directors and shall be elected by the members of the club at the organization meeting of said members in any given year.

Section 2. Subordinate Officers: The Board of Directors may appoint such other officers as the business of the organization may require, each of whom shall hold office for such a period, having such authority and perform such duties as are provided in the By-laws or as the Board of Directors may from time to time determine.

Section 3. Removal and Resignation: Any officer may be removed for cause. Removal will be recommended by the Board of Directors and voted upon by the general membership. A three-fourths (3/4) majority vote of the attending membership for the removal of the officer shall be necessary.

Any officer may resign at any time by giving written notice to the Board of Directors or to the President or Secretary of the organization. Any such resignation shall take effect at the date of receipt of notice or at any later time specified therein. The acceptance of said resignation shall not be necessary to make it effective.

Section 4. Vacancies: A vacancy in any office because of death, resignation, removal, disqualification or any other cause shall be filled in the manner prescribed in the By-Laws for regular election or by appointment to such office by a majority of the Board of Directors.

Section 5. Succession: No officer of this club shall succeed himself in office more than once.

ARTICLE V: MEETINGS

Section 1. Meetings: Meetings of the members of this organization shall be held for the purpose of conducting business pertinent to the organization and dissemination of information of interest to its members.

The meeting time and place of this organization may be changed by a majority vote at a regularly constituted meeting, assuming a quorum is present.

ARTICLE VI: AMENDMENTS

Section 1. By Members: New By-laws may be adopted, amended, or repealed by a two-thirds (2/3) vote of the active voting members present at a monthly or special meeting, assuming a quorum is present.

Section 2. Restrictions: Not less than six months must elapse between a meeting defeating a proposed amendment or repeal and a new presentation of the same or substantially the same amendment or repeal.

ARTICLE VII: Quorum

Section 1. Quorum: A quorum will be constituted as one-third (1/3) of the general membership.
